Welcome to SafariSync ERP. These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “Client”, “Subscriber”) and SafariSync ERP, a proprietary travel technology solution purpose-built to streamline operational, financial, and customer management processes for inbound tour operators, DMCs, and travel consultants across East Africa.

By accessing or using the SafariSync ERP platform, related services, or any associated content, you agree to be bound by these Terms. If you do not agree, you must not access or use the platform.

1. Definitions

• “SafariSync ERP” refers to the software-as-a-service (SaaS) solution developed for use by licensed travel and tourism professionals operating in or servicing East Africa.
• “User” refers to any individual, company, or entity that creates an account or otherwise accesses the platform.
• “Client Data” means all data, documents, media, or content uploaded or processed through the platform by the User.
• “Content” includes but is not limited to tour quotations, service vouchers, client invoices, reports, dashboard analytics, and booking records generated or stored on the system.

2. Eligibility & Account Registration

SafariSync ERP is intended exclusively for business users in the travel and tourism sector. By using this platform, you represent that:

• You are at least 18 years of age.
• You are authorized to bind the entity on whose behalf you are registering.
• You provide accurate and complete information during account creation and agree to keep it updated.

Each account is personal to your company or agency and must not be shared with external parties without express written consent from SafariSync ERP.

3. License and Permitted Use

SafariSync ERP grants you a limited, non-transferable, non-exclusive, revocable license to access and use the platform for your internal business operations only.

Permitted uses include:

• Creating and managing inbound tour quotations and itineraries.
• Issuing client service vouchers, invoices, and supplier payment documents.
• Generating business performance dashboards and reports.
• Managing customer, supplier, and agent databases.

Prohibited uses include:

• Reverse-engineering, decompiling, or attempting to extract the source code.
• Using the platform to offer competing services.
• Hosting or transmitting harmful, illegal, or infringing content.
• Sharing login credentials or unauthorized third-party access.

4. User Responsibilities

You agree to:

• Maintain the confidentiality and security of login credentials.
• Ensure that all uploaded content complies with local and international laws.
• Take full responsibility for all activity that occurs under your account.
• Back up your data as part of your business continuity practices (though SafariSync ERP follows industry-grade redundancy and data protection protocols).

5. Platform Availability and Modifications

We strive to provide continuous access to the SafariSync ERP platform with minimal interruptions. However, we do not guarantee:

• Uninterrupted availability.
• Absence of system errors or bugs.
• Compatibility with all devices or operating systems.

SafariSync ERP reserves the right to:

• Update or modify the platform to enhance features or security.
• Suspend access temporarily for maintenance.
• Terminate services due to breach of these Terms or non-payment.

6. Intellectual Property Rights

All intellectual property related to SafariSync ERP—including source code, design, databases, trademarks, and content developed by our team—remains the sole property of SafariSync ERP and its licensors.

Users retain full ownership of their Client Data but grant SafariSync ERP a non-exclusive license to process, store, and use it as required to deliver the contracted services.

7. Subscription and Payment

Access to SafariSync ERP is based on subscription plans (Go, Standard, Advanced), with tier-specific features and usage limits. You agree to:

• Pay all subscription fees as invoiced.
• Ensure timely renewals to maintain uninterrupted access.
• Accept that unpaid accounts may be suspended or terminated after reasonable notice.

No refunds will be offered for partial use or unused subscription periods unless required by applicable law.

8. Data Protection and Confidentiality

SafariSync ERP adheres to high standards of data security and confidentiality. We commit to:

• Protecting all user and client data using secure encryption and access controls.
• Never selling or misusing your data.
• Offering compliance alignment with applicable data protection laws, including Uganda’s Data Protection and Privacy Act (2019), Kenya’s Data Protection Act (2019), and GDPR (where applicable).

Users are also responsible for safeguarding sensitive data, especially when accessed by remote or home-based consultants.

9. Third-Party Services and Integrations

The platform may offer integrations with third-party services (e.g., payment processors, CRMs, insurance modules). SafariSync ERP is not responsible for the terms, availability, or performance of these third-party systems. Your use of such integrations is at your own risk and governed by their respective terms.

10. Limitation of Liability

To the fullest extent permitted by law, SafariSync ERP shall not be liable for:

• Any indirect, incidental, or consequential damages.
• Business interruption or data loss due to third-party failure or misuse.
• Losses resulting from inaccurate data entry or misuse of the system by Users.

Our total liability in any matter arising out of these Terms will be limited to the amount you paid for the service in the 12 months preceding the incident.

11. Termination

We reserve the right to:

• Suspend or terminate your access for breach of these Terms.
• Delete your data upon repeated misuse or non-payment.
• Retain anonymized statistical data for system improvement even after account closure.

Users may terminate the subscription by providing written notice. Certain features or data may no longer be accessible after termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Uganda and Kenya, where SafariSync ERP is headquartered. Any disputes shall be resolved through:

1. Good faith negotiations, followed by
2. Mediation or arbitration under the rules of the Kenya/ Uganda Centre for Arbitration and Alternative Dispute Resolution (CADER), if needed.

We encourage open communication to resolve issues amicably and professionally.

13. Changes to These Terms

We may revise these Terms periodically to reflect updates in laws, features, or business models. Users will be notified of significant changes via email or in-app notification. Continued use of the platform constitutes acceptance of the revised Terms.
